What is the S0019 purpose code?
Purpose code S0019 is used when an Indian resident remits money abroad to acquire non-produced non-financial assets from a non-resident for non-government use. This covers payments to foreign owners for purchasing or obtaining long term rights over intangible assets such as patents, copyrights, trademarks, brand rights or the right to exploit natural resources. It does not apply where you are simply paying recurring royalties or licence fees for using an existing IP asset without acquiring any ownership or long term rights, which are reported under relevant service or income codes. Under RBI FEMA guidelines, this outward payment is classified under the capital account and reported accordingly.
When to use S0019 purpose code?
Use S0019 when you are paying a non-resident to acquire ownership or long term rights over non-produced intangible assets like patents, trademarks, copyrights or rights to use natural resources for your business in India. It is the correct RBI purpose code when the transaction changes your capital position by giving you an enduring right or asset, whether you remit as a company, LLP, partnership or resident individual investor. S0019 covers the capital acquisition of the asset or right, not recurring usage fees.
When to use a different code:
- Use the adjacent service import code when the payment is only for ongoing royalty or licence fees without acquiring the underlying asset
- Use the adjacent income code when the payment is for distributed earnings on an existing overseas investment
- Use the matching P code when you are receiving money rather than paying
Who typically uses S0019 purpose code
Indian companies, LLPs and partnerships that acquire overseas intellectual property or long term rights over natural resources from non-resident owners. Resident individual investors and promoters may also use S0019 when they personally acquire such non-produced non-financial assets from abroad as part of their business or investment activity.
Examples of transactions covered
- Lump sum payment to a foreign company to acquire full ownership of a global patent portfolio for use in India and other markets
- Consideration paid to an overseas brand owner to purchase exclusive rights to a trademark for specified territories
- Upfront fee to a non-resident entity for long term rights to explore and use a natural resource under a concession agreement
- Buyout payment to an international publisher for assignment of copyrights to a catalogue of books and digital content
When NOT to use S0019 purpose code
- The payment is for ongoing royalty or licence fees without acquiring ownership or long term rights over the intangible asset (use the relevant service import code)
- The payment is for routine professional or legal services related to IP, such as drafting or prosecuting patents (use the appropriate business service code)
- The payment relates to income or returns from an existing overseas investment, such as dividends or profit share (use the relevant income code)
- You are receiving money rather than paying (use the matching P code)
Documents required
To send a payment under S0019, keep the following documents ready so your authorised dealer bank can verify the transaction and report it correctly under FEMA.
| Document | Purpose |
|---|---|
| Form A2 with PAN | Standard RBI form where you declare the remittance details, purpose code S0019 and your PAN. |
| Form 145 | Income tax undertaking prescribed under Rule 220, filed before remitting unless the payment is clearly exempt, as confirmed with your CA. |
| Transaction agreement or deed of assignment | The executed contract, assignment deed or concession agreement showing the acquisition of the patent, trademark, copyright or resource right and the consideration payable. |
| Regulatory and corporate approvals | Board resolution and any applicable RBI, DPIIT or sectoral approvals or filings (such as ODI or other capital account filings) that support the acquisition of the overseas intangible asset or right. |
How is a S0019 Purpose Code declared?
Declaring the code is pretty straightforward. Here's how the payment gets tagged and reported.
- Finalise the acquisition documents: Execute the IP assignment, trademark transfer, copyright sale or resource rights agreement with the non-resident, clearly stating consideration and parties.
- Complete applicable capital account filings: Ensure any required ODI or other capital account reporting and internal approvals for acquiring an overseas intangible asset are in place before remittance.
- File Form 145: Submit the declaration before remitting, with Form 146 from your CA where the taxable amount exceeds ₹5 lakh in the Tax Year.
- Complete Form A2: State the purpose of the outward remittance as S0019 and submit the supporting documents to your bank.
- Get your MT103: Once the payment is sent, request the SWIFT MT103 as proof and retain your Form A2 record.

Common mistakes to avoid
A few common slips can hold up your payment or cause compliance issues. Here's what to watch for.
- Confusing capital acquisition with royalty: Tagging a recurring licence or royalty payment under S0019 when no ownership or long term right over the asset is being acquired.
- Code and invoice mismatch: The code not matching what your agreement and invoice describe, which can flag the payment for additional scrutiny.
- Assuming a Rule 220(3) exemption: Skipping Form 145 on a payment that is not on the specified list, which carries a ₹1,00,000 penalty per instance.
- Incomplete documents: Missing executed assignment agreement, approvals or Form A2, so the bank holds the remittance until provided.
- Missing PAN or KYC: Incomplete verification stops the bank from releasing the payment.
- Using an outward code for an inward receipt: Applying an S code to money coming in instead of the matching P code.
