What is the S1411 purpose code?

Purpose code S1411 is used when an Indian entity sends money abroad to remit interest income earned on portfolio investments in India to a non-resident investor. This covers outward remittances of interest on listed or unlisted debt securities and other portfolio instruments held in India by foreign portfolio investors or other eligible non-resident portfolio investors. It does not apply to repayment of principal on those portfolio investments, which is reported under separate capital account purpose codes. Under RBI FEMA guidelines, this outward payment is classified under Primary Income and reported accordingly.

When to use S1411 purpose code?

Use S1411 when you are remitting interest income from Indian portfolio investments to a foreign portfolio investor or other eligible non-resident portfolio holder. It is the correct RBI purpose code when an Indian company, custodian or resident investor pays out interest arising on portfolio holdings in India to an overseas beneficiary. S1411 covers only the interest component of the portfolio investment, not the principal.

When to use a different code:

  • Use the relevant capital account purpose code when the payment is for principal redemption or sale proceeds of the portfolio investment
  • Use the relevant S14xx dividend income purpose code when the payment is for dividends rather than interest
  • Use the matching P code when you are receiving money rather than paying

Who typically uses S1411 purpose code?

Indian companies, banks, custodians and intermediaries that remit interest income on Indian portfolio investments to foreign portfolio investors and other non-resident portfolio holders. It can also apply where a resident investor is remitting interest income on an Indian portfolio investment to a non-resident beneficiary, as long as the income arises from portfolio investments in India.

  • The payment is for redemption or sale proceeds of the underlying portfolio investment principal, not interest income (use the relevant capital account purpose code)
  • The payment is for dividend income on shares or equity instruments held as portfolio investments in India (use the relevant S14xx dividend income purpose code)
  • The payment is for interest on a direct loan or external commercial borrowing rather than a portfolio investment (use the corresponding loan interest purpose code)
  • You are receiving money rather than paying (use the matching P code)

How is a S1411 Purpose Code declared?

Declaring the code is pretty straightforward. Here's how the payment gets tagged and reported.

  1. Identify the interest payout: Your records or custodian statement show the interest income due on portfolio investments in India to a non-resident investor and the amount to be remitted.
  2. Determine taxability: Establish whether the interest payment is chargeable to tax in India and at what rate, since that decides how you complete Form 145 and whether tax must be withheld at source.
  3. File Form 145: Submit the declaration before remitting, with Form 146 from your CA where the taxable amount exceeds ₹5 lakh in the Tax Year.
  4. Complete Form A2: State the purpose of the outward remittance as S1411 and submit the supporting investment and interest calculation documents to your bank.
  5. Get your MT103: Once the payment is sent, request the SWIFT MT103 as proof and retain your Form A2 and tax deduction records.

Common mistakes to avoid

  1. Mixing up income and capital: Tagging principal redemption or sale proceeds of a portfolio investment as S1411 when it is only meant for interest income.
